These Terms of Service govern your access to and use of the Wiral website and platform (the “Service”). By creating an account, requesting a demo, or using the Service, you agree to these Terms.

1. Definitions

• “Wiral,” “we,” “us,”** means the provider of the Service.
• “Customer,” “you,”** means the business or individual using the Service.
• “End User”** means your customer or lead who messages you.
• “Customer Data”** means content and information you or End Users submit through connected channels.
• “Account Users”** means your employees, agents, or contractors who use your account.

2. Eligibility and account responsibility

You must be legally able to enter a contract to use the Service. You are responsible for:

• Keeping login credentials secure

• Controlling access for Account Users

• All activity that occurs under your account

3. The Service. What Wiral provides

Wiral provides an AI-powered customer engagement platform that can:

• Connect and manage messaging channels in one inbox

• Send automated replies, qualify leads, assign agents, and follow up

• Support appointment booking

• Provide reporting and analytics

• Support WhatsApp campaigns and related messaging workflows

Features may change over time as we improve the Service.

4. Customer obligations

You agree to:

• Provide accurate account and billing information

• Use the Service only for lawful purposes

• Ensure you have the right to upload and process Customer Data

• Comply with all applicable laws and regulations, including privacy, marketing, and telecom rules

• Obtain required consents before messaging End Users, where required

You are responsible for your scripts, offers, pricing, and business claims delivered through the Service.

5. Acceptable use

You must not:

• Use the Service for illegal, harmful, or deceptive activities

• Send spam, scams, phishing, or unauthorized marketing

• Attempt to access accounts, systems, or data you do not own

• Reverse engineer, copy, or exploit the Service except as allowed by law

• Interfere with performance or security (malware, scraping, abuse, load attacks)

We can suspend or terminate accounts that violate these rules.

6. AI behavior and limitations

AI can make mistakes. You understand and accept:

• AI responses are generated automatically and may be inaccurate or incomplete

• You must review and test workflows before going live

• You are responsible for decisions made based on AI output

• You should not use the Service for high-risk decisions (medical, legal, safety-critical) without human review

7. Third-party channels and integrations

The Service may integrate with third parties (for example Meta services for WhatsApp/Instagram, web chat providers, calendars, CRMs, and payment tools). These third parties may have their own terms, policies, and limits. Wiral is not responsible for third-party downtime, policy changes, bans, or pricing changes.

8. Fees, billing, and taxes

• Fees are based on your selected plan and billing cycle.

• Unless stated otherwise, fees are paid in advance and are non-refundable.

• You are responsible for any taxes, duties, or bank charges that apply.

If payment fails, we may suspend access until payment is received.

9. Trials, promotions, and guarantees

If we offer a trial, early adopter pricing, or a performance guarantee, it will be described in writing as part of your plan or order.

If a “bookings guarantee” applies, it is conditional on:

• Correct channel setup and required access provided

• Your timely cooperation during onboarding

• Reasonable response handling by your team when leads are escalated

• Using the Service as intended, with approved templates and workflows

• Having a viable offer and operational capacity to deliver what you sell

If conditions are not met, the guarantee does not apply.

10. Customer data and privacy

You own Customer Data. We process Customer Data to provide the Service.

Customer data is hosted on Microsoft Azure (Qatar data center) with encryption at rest and in transit.

You agree not to upload sensitive personal data unless necessary and properly protected and permitted by law.

We use reasonable technical and organizational measures to protect the Service and Customer Data, including access controls, logging, monitoring, and encryption.

No system is 100% secure. You accept that risk

12. Intellectual property

Wiral and its technology, templates, UI, and branding are owned by Wiral or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription.

You keep ownership of your brand assets and Customer Data.

13. Confidentiality

Wiral and its technology, templates, UI, and branding are owned by Wiral or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription.

You keep ownership of your brand assets and Customer Data.

  1. Suspension and termination

You may cancel according to your plan terms.

We may suspend or terminate access if:

• You violate these Terms

• You fail to pay fees

• Your use creates security or legal risk

• Required third-party channel access is revoked

Upon termination, your access stops. We may delete Customer Data after a reasonable period, subject to legal obligations.

15. Disclaimers

The Service is provided “as is” and “as available.” We do not guarantee:

• Uninterrupted operation

• Specific revenue outcomes

• That AI output will be correct every time

• That third-party channels will always work or approve messaging

  1. Limitation of liability

To the maximum extent permitted by law:

• Wiral is not liable for indirect, incidental, special, consequential, or lost-profit damages.

• Wiral’s total liability for any claim is limited to the fees you paid to Wiral in the 3 months before the event giving rise to the claim.

17. Indemnity

You agree to indemnify and hold Wiral harmless from claims arising from:

• Your Customer Data, offers, products, or services

• Your messages to End Users

• Your violation of laws, third-party rules, or these Terms

  1. Changes to the Service or Terms

We may update the Service and these Terms. If changes are material, we will post an updated version and change the “Last updated” date. Continued use means you accept the updated Terms.

  1. Governing law

These Terms are governed by the laws of Qatar, unless your signed order form states otherwise. Any disputes will be handled in the courts of Qatar, unless otherwise agreed in writing.
